Muller Pallets Terms and Conditions

 

1. Definitions

In these terms and conditions, the following definitions apply:

  • Muller Pallets: Muller Pallets, located at Den Isomo 9A, 2990 Wuustwezel, Belgium.
  • Customer: Any natural or legal person who enters into an agreement with Muller Pallets.
  • Agreement: Any agreement between Muller Pallets and the customer, including all related appendices and amendments.
  • Products: All pallets and related products offered and delivered by Muller Pallets.
  • Services: All services offered and performed by Muller Pallets, including but not limited to repair, sorting, and transport of pallets.

 

2. Applicability

  • These terms and conditions apply to all offers, quotations, agreements, and deliveries of Muller Pallets, unless otherwise agreed in writing.
  • Deviating terms and conditions of the customer are expressly rejected, unless accepted in writing by Muller Pallets.

 

3. Offers and Quotations

  • All offers and quotations from Muller Pallets are non-binding, unless explicitly stated otherwise.
  • An agreement is only concluded after Muller Pallets has sent a written confirmation of the order or has started with the execution of the agreement.
  • The prices in the quotations are exclusive of VAT, unless stated otherwise.

 

4. Delivery

  • Delivery takes place at the address specified by the customer, unless otherwise agreed.
  • Delivery times are indicative and do not bind Muller Pallets, unless explicitly agreed otherwise.
  • In case of exceeding the delivery time, the customer is not entitled to compensation, unless there is intent or gross negligence on the part of Muller Pallets.
  • Upon delivery of the products, the customer must immediately check them for any damage or deviations. Any defects must be reported in writing to Muller Pallets within 24 hours of delivery.

 

5. Payment

  • Payment must be made within the agreed term, without any deduction or settlement, unless otherwise agreed in writing.
  • In case of late payment, the customer is legally in default and owes an interest of 10% per month on the outstanding amount.
  • In case of late payment, Muller Pallets can suspend further deliveries.
  • All extrajudicial collection costs are for the account of the customer.

 

6. Retention of Title

  • All delivered products remain the property of Muller Pallets until the customer has fully paid all amounts due.
  • The customer is not authorized to pledge the products delivered under retention of title or to encumber them in any other way.

 

7. Liability

  • Muller Pallets is not liable for any damage, direct or indirect, resulting from the use of the delivered products or services, unless there is intent or gross negligence on the part of Muller Pallets.
  • The liability of Muller Pallets is in any case limited to the invoice amount of the relevant delivery or service.
  • Muller Pallets is not responsible for damage caused by incorrect use of the products by the customer.

 

8. Force Majeure

  • In case of force majeure, including but not limited to strikes, fire, flooding, war, epidemics, pandemics, and government measures, Muller Pallets is not obliged to fulfill its obligations.
  • Force majeure also includes the situation in which suppliers of Muller Pallets are unable to deliver on time or correctly.

 

9. Applicable Law and Disputes

  • All agreements between Muller Pallets and the customer are governed by Belgian law.
  • All disputes arising from or related to these agreements will be submitted to the competent court in Antwerp, Turnhout division.

 

10. Amendments

  • Muller Pallets is entitled to amend these terms and conditions. Amendments will be communicated to the customer in writing or electronically and will take effect [number] days after notification, unless stated otherwise.
